Terms of Service.
These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Plurel Inc. (“Plurel,” “we,” “us,” or “our”) governing access to and use of Plurel Pay and related products, services, websites, dashboards, APIs, SDKs, and documentation (collectively, the “Service”). By accessing or using the Service, creating an account, integrating our software, or otherwise indicating acceptance, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. Questions regarding these Terms may be directed to contact@plurelinc.com.
Acceptance & eligibility
Plurel Pay is operated by Plurel Inc., a Delaware corporation. References to “you,” “Merchant,” or “Customer” mean the individual or entity entering into these Terms.
If you access or use the Service on behalf of a company, partnership, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms, and that “you” refers to that entity. You further represent that you are at least the age of majority in your jurisdiction, that you (and the entity you represent) have the legal capacity to enter into these Terms, and that neither you nor the entity is barred from receiving the Service under applicable law, including sanctions and export-control regimes.
Merchants must provide accurate, complete, and current business, identity, banking, and compliance information as we may request, and must promptly update such information. We may condition, delay, or refuse onboarding or continued access pending satisfactory verification.
Your account & security
Merchant use of the Service generally requires an account. End users who initiate or join a group payment as payers may not need a Merchant account. You are solely responsible for: (a) maintaining the confidentiality and security of account credentials, API keys, tokens, webhooks secrets, and other authentication materials; (b) all activity occurring under your account or using your credentials, whether or not authorized by you; and (c) promptly notifying us of any suspected unauthorized access, compromise, or misuse. You must rotate compromised credentials without delay.
You shall not share dashboard access or API credentials with unauthorized persons. We are not liable for losses arising from your failure to safeguard credentials or from unauthorized use of your account, except to the extent caused by our willful misconduct as finally determined by a court of competent jurisdiction.
Using Plurel Pay
The Service enables coordinated group payments and related merchant tooling. You agree to use the Service solely for lawful commercial purposes consistent with these Terms, our policies, and applicable network and payment-partner rules. Without limiting the foregoing, you shall not: misrepresent goods, services, or amounts charged; process payments for prohibited categories (see § 06); attempt to circumvent split, settlement, risk, or authentication controls; or interfere with the integrity, performance, or security of the Service.
Fees, taxes & payment
Published fees. Current Service fees, platform fees, participant service fees, and related commercial terms are as published in the merchant dashboard, pricing pages, partner programme materials, order forms, or other notices we make available from time to time. Illustratively, and subject always to change as set forth below, Plurel Pay may assess a participant service fee on payer shares and a merchant platform fee on settled group orders; settlement may also reflect pass-through amounts related to card and payment processing (including interchange, network, and settlement costs). Pass-through amounts are not Plurel Pay service fees; they recover transaction costs associated with moving funds. Where a merchant enables immediate installment payouts, an additional immediacy premium (currently 0.50%) may be deducted from each early installment transfer in addition to the platform fee. Merchants generally receive the purchase price for fulfilled orders, adjusted for documented processing pass-throughs, fees (including any immediacy premium), refunds, chargebacks, reserves, offsets, and amounts required by law or by our payment partners.
Changes to fees at our sole discretion. You acknowledge and agree that Plurel and Plurel Pay may, at any time and in our sole discretion, modify, increase, decrease, introduce, eliminate, or otherwise change any fees, pricing, rates, surcharges, minimums, reserves, holdbacks, pass-through recoveries, commercial terms, or fee schedules applicable to the Service (collectively, “Fee Changes”). We may effect Fee Changes by posting updated pricing or commercial terms to the Service, dashboard, website, or other notice channel, or by otherwise communicating an effective date. Unless we state a later effective date, Fee Changes become effective when posted or communicated. Your continued access to or use of the Service after the effective date of any Fee Change constitutes your acceptance of such Fee Change. If you do not agree to a Fee Change, your sole remedy is to stop using the Service and close your account before the Fee Change takes effect. Nothing in these Terms obligates us to provide any minimum period of advance notice of Fee Changes, except where mandatory law requires otherwise.
Taxes. Fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for all sales, use, value-added, goods and services, withholding, and similar taxes arising from your use of the Service or your sale of goods and services, other than taxes based solely on our net income. Where we are required to collect tax, you authorize us to do so and to remit or report as required.
Payment; setoff; reserves. You authorize us and our payment partners to deduct, withhold, offset, or debit fees, chargebacks, refunds, fines, assessments, penalties, and other amounts you owe from settlement proceeds, balances, or payment methods on file. We may establish, increase, or release reserves or holdbacks in our reasonable discretion to manage risk, disputes, refunds, or network requirements. Unpaid amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
Compass, if and when offered, may be priced separately under these Terms or a supplemental schedule. No statement regarding the absence of setup fees, monthly minimums, or contracts limits our right to implement Fee Changes as described above.
Refunds, chargebacks & disputes
Group payment sessions settle only when applicable funding conditions are met. If a session fails to fund by the applicable cutoff or is otherwise cancelled in accordance with Service rules, we may reverse, refund, or unwind participant charges as contemplated by the Service design and payment-partner requirements. Partial settlement rules, if any, are as implemented in the Service from time to time. For installment plans configured to forfeit unpaid balances, paid installment deposits may be retained by the merchant when later installments are not completed by the deadline, as configured in the Service.
Chargebacks and disputes. You are solely responsible for customer service relating to your goods and services. Chargebacks, disputes, reversals, retrievals, and all associated fees, fines, assessments, and costs are your sole responsibility as Merchant. Plurel does not bear, assume, or remain liable for any chargeback, dispute, reversal, or associated fee. If a participant or cardholder disputes a charge, initiates a chargeback, retrieval, or similar network process, or if a payment is reversed for any reason, you remain liable to us for the full amount of the disputed or reversed transaction, plus any associated fees, fines, assessments, and costs imposed by card networks, banks, or payment partners, and our reasonable costs of investigation and response. We may recover those amounts from you, including by debit, offset against payouts or other settlement proceeds, or reserve, as described in § 04. Where available, the Service may surface payment evidence (such as payer IP address, authentication results, and billing details) in the merchant dashboard to help you respond to disputes. You shall promptly provide evidence and cooperation we request. We may assist in presenting evidence where practicable, but we have no obligation to contest any dispute, and we do not guarantee a win or any other outcome in your favor. Any such assistance does not shift responsibility for the chargeback, dispute, reversal, or associated fees to Plurel.
Acceptable use & compliance
You shall not use the Service, and shall not permit others to use the Service, to:
- Engage in any activity that is illegal, fraudulent, deceptive, or abusive under the laws of any applicable jurisdiction;
- Offer or process adult content, weapons, illicit drugs, unlawful gambling, or other categories we or our payment partners designate as prohibited or restricted;
- Coerce, harass, or improperly pressure participants into paying, or mislead participants about amounts, merchants, or outcomes;
- Generate unauthorized automated, scrapable, or bot-driven traffic, or load-test the Service without our prior written authorization;
- Circumvent, disable, or interfere with security, rate limits, risk controls, or monitoring; or
- Violate card-network rules, bank partner requirements, or applicable consumer, payments, or advertising laws.
AML, KYC, sanctions, and fraud. You shall comply with all applicable anti-money laundering, counter-terrorist financing, know-your-customer, sanctions, anti-bribery, and anti-corruption laws. You represent that neither you nor any of your beneficial owners, officers, or controlling persons is a sanctioned person or located in a comprehensively sanctioned jurisdiction. You shall cooperate promptly with identity, beneficial-ownership, source-of-funds, and transaction-monitoring requests. We may suspend or terminate access, freeze or reverse transactions, and report activity to payment partners, networks, or authorities where we believe necessary to manage risk, fraud, or legal obligations. We may suspend accounts that violate this section without prior notice.
Intellectual property & feedback
Plurel and its licensors own all right, title, and interest in and to the Service, including software, APIs, documentation, designs, trademarks, trade dress, and the Plurel Pay name, button design, Compass wordmark, and related marks (the “Plurel IP”). Except for the limited right to access and use the Service as expressly permitted under these Terms, no rights are granted to you by implication or otherwise. You may describe Plurel Pay in ordinary commercial language, link to our public sites, and use official assets from our press kit in accordance with any brand guidelines we publish. You shall not recolor or alter our marks in a misleading manner, recompose lockups, or imply any partnership, sponsorship, or endorsement that we have not expressly agreed in writing.
Feedback. If you provide ideas, suggestions, or feedback regarding the Service, you grant Plurel a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, and commercialize such feedback for any purpose without restriction, attribution, or compensation.
You retain ownership of your content and data that you submit to the Service, subject to the licenses and rights necessary for us to operate, improve, secure, and promote the Service and to meet legal and payment-partner obligations.
Confidentiality
“Confidential Information” means non-public information disclosed by either party that is marked confidential or that a reasonable person would understand to be confidential, including API keys, technical documentation, pricing not published publicly, security materials, and business information. The receiving party shall use Confidential Information solely to perform under these Terms, protect it with reasonable care, and not disclose it to third parties except to personnel and advisors under confidentiality obligations, or as required by law (with prompt notice where legally permitted). Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known without restriction, is independently developed, or is rightfully received from a third party without confidentiality duty. Upon request or termination, the receiving party shall return or destroy Confidential Information, except for routine backup copies retained under standard retention policies and continuing confidentiality duties.
Data & privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. Merchants are independently responsible for providing legally adequate notices and obtaining any consents required for their own processing of customer and participant data, and for complying with applicable privacy and data-protection laws in their role as a controller or equivalent. Nothing in these Terms constitutes a data processing agreement, privacy warranty, or certification of compliance with any particular framework unless set out in a separate written agreement signed by the parties.
Disclaimers
THE SERVICE, INCLUDING PLUREL PAY AND ANY COMPASS OR RELATED OFFERINGS, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLUREL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECT WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLUREL’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). IN NO EVENT SHALL PLUREL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
Indemnification
You shall indemnify, defend, and hold harmless Plurel Inc., its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your products, services, content, marketing, or customer relationships; (c) your breach of these Terms or of applicable law, network rules, or partner requirements; (d) any dispute, chargeback, refund, or reversal relating to your transactions; (e) any claim that your content or business practices infringe or misappropriate third-party rights; and (f) any allegation arising from your failure to provide legally required notices or obtain required consents. We may assume exclusive defense of any matter subject to indemnification, at your expense, and you shall not settle any claim imposing obligation or admission on us without our prior written consent.
Termination & survival
You may stop using the Service at any time by closing your account in accordance with available account tools or by written request to us. We may suspend, restrict, or terminate your access to the Service at any time, with or without notice and with or without cause, including if you breach these Terms; if a payment partner, card network, bank, or regulator requires us to act; if we suspect fraud, elevated risk, or sanctions exposure; or if continued provision would be impracticable or commercially unreasonable. On termination, your right to use the Service ends immediately. We have no obligation to refund fees already paid or accrued. Provisions that by their nature should survive—including fees and amounts owed, intellectual property, feedback license, confidentiality, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous—shall survive termination or expiration.
Our rights & account actions
Plurel reserves the right, at our sole and absolute discretion, with or without notice, and with or without cause, to: suspend, disable, restrict, lock, hold balances on, or terminate any account or session; remove, refuse to process, or reverse any group session, transaction, content, or invite; refuse service to any person; investigate suspected violations of these Terms or applicable law; and take any other action we reasonably deem necessary to protect users, the platform, our employees, our partners, or our legal, regulatory, or commercial interests. We are under no obligation to provide a reason for any such action, nor to provide a refund of any fees, and we will not be liable to you or any third party for taking or declining to take any such action. Nothing in these Terms limits any rights or remedies otherwise available to us at law or in equity.
Changes to the service
We may, at any time and without liability to you, add, change, restrict, throttle, suspend, or discontinue any feature, integration, API, region, route, surface, or aspect of the Service, in whole or in part, on a temporary or permanent basis. We may also impose limits on usage, transaction volume, or access in our sole discretion. We will use commercially reasonable efforts to notify Merchants of material breaking changes where practicable, but no specific feature, uptime, roadmap item, or future capability is guaranteed.
Export controls & sanctions
You shall comply with all applicable export-control, sanctions, and trade laws of the United States and other relevant jurisdictions. You shall not export, re-export, transfer, or provide the Service, related technology, or proceeds to any prohibited destination, entity, or individual, or for any prohibited end use. You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions, and that you are not identified on any applicable denied- or restricted-party list. Breach of this section is grounds for immediate suspension or termination.
Governing law & disputes
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction and venue there. To the extent a claim is not subject to mandatory arbitration, you and Plurel waive the right to a jury trial. We may require binding individual arbitration for certain claims; details will be provided in the dashboard or upon request. You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action, to the fullest extent permitted by law.
Changes to these terms
We may amend these Terms at any time by posting an updated version to the Service or website and updating the effective date, or by other reasonable notice. For material changes other than Fee Changes (which are governed by § 04), we will use commercially reasonable efforts to provide advance notice by email, dashboard notice, or comparable means where practicable. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree, you must discontinue use and close your account before the updated Terms take effect. Fee Changes are controlled exclusively by § 04 and are not subject to any advance-notice commitment stated in this section.
Miscellaneous
Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Entire agreement. These Terms, together with the Privacy Policy and any policies, schedules, or order forms expressly incorporated by reference, constitute the entire agreement between you and Plurel regarding the subject matter and supersede all prior or contemporaneous agreements, proposals, and representations, whether written or oral.
Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. Any attempted assignment in violation of this section is void.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Any waiver must be in writing and signed by an authorized representative of Plurel to be effective.
Force majeure. We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages, network or utility failures, denial-of-service attacks, or failures of third-party providers, payment networks, or cloud infrastructure.
Relationship; third-party beneficiaries. The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship. Except for indemnified parties as expressly stated, there are no third-party beneficiaries.
Notices. We may provide notices to you via the Service, dashboard, email associated with your account, or by posting to our website. Notices to us regarding these Terms should be sent to contact@plurelinc.com.
Interpretation; headings. Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.” References to “sections” are to sections of these Terms.
